By using Idle & Awake Tools (the “site”), you agree to these Terms of Use. If you do not agree, please do not use the site.

1. Use of the tools

The tools on this site are provided free of charge for personal and commercial use.

You must not use this site for any unlawful purpose. In particular, you must not:

  • break any law or regulation that applies to you, or help anyone else do so;
  • process content you have no right to use, including material that infringes copyright, trade marks or other rights, or that contains someone else’s personal data you are not allowed to handle;
  • upload, create or distribute malware, or use a tool to prepare, test or disguise an attack, fraud, scam, phishing page or forged document;
  • create content that is defamatory, harassing, hateful, sexually exploitative of minors, or otherwise illegal;
  • attempt to gain unauthorized access to the site or its hosting, probe or disrupt its security, or interfere with its normal operation;
  • scrape, automate or load the site at a volume that burdens the service, or resell access to it as your own paid service.

You are solely responsible for the data and files you process and for the purposes you use the results for. We may block access if the site is used in any of these ways.

3. No warranty — the site is free and provided “as is”

Everything here is offered free of charge, with no contract, subscription or payment of any kind. In return, the site is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of accuracy, merchantability, fitness for a particular purpose or non-infringement.

We work hard to keep results correct (see how we verify tools), but we do not warrant that any result is accurate, complete, current or suitable for your purpose, or that the site will be uninterrupted or error-free. We may change, suspend or discontinue any tool at any time without notice.

You use the tools at your own risk. Before you rely on a result for anything that matters — money, taxes, health, safety, legal obligations or business decisions — verify it independently and consult a qualified professional.

4. Your files and data

Files and data you use with our tools are processed locally in your browser. You are responsible for keeping copies of your original files and for the lawful use of any content you process.

5. Limitation of liability

To the fullest extent permitted by applicable law, Idle & Awake Tools and its operator are not liable for any loss or damage arising out of or connected with your use of, or inability to use, the site or its results. This includes direct, indirect, incidental, special, consequential and punitive damages, and specifically any lost profits, lost savings, lost or corrupted data, missed opportunities, or costs incurred because a calculation, conversion or file output was wrong, delayed or unavailable.

Because the site is supplied free of charge, no fee has been paid for any warranty or indemnity, and nothing on this site creates a professional, advisory or fiduciary relationship between you and us.

Some jurisdictions do not allow certain warranties to be excluded or liability to be limited — in particular for death or personal injury caused by negligence, for fraud, or for intentional or grossly negligent acts. Nothing in these terms limits liability that cannot be limited under the law that applies to you. Where a limitation is not permitted, our liability is limited to the smallest amount permitted by that law.

You agree to hold us harmless from claims, damages and costs arising from your misuse of the site, your breach of these terms, or your unlawful use of content you process with our tools.

7. Intellectual property

The site’s design, text and code are owned by Idle & Awake Tools unless stated otherwise. Open-source components remain under their respective licenses. You may link to any page and embed tools where we offer an embed option.

8. Changes

We may update these terms from time to time. Continued use of the site after changes means you accept the updated terms.

9. Severability

If any provision of these terms is held invalid or unenforceable, the rest stays in force, and the invalid provision is replaced by the valid provision that comes closest to its intent.
